TEXAS STATE REGULATORY COMPLIANCE
Texas Consumable Hemp Program Compliance
OilWell Cannabis operates in full compliance with Texas Health and Safety Code Chapter 443 and maintains all required licenses and registrations with the Texas Department of State Health Services (DSHS). Our retail operations are conducted under valid DSHS Retail Hemp Registration, and our manufacturing and processing activities are conducted under valid DSHS Consumable Hemp Product Licenses as required by Texas law.
All consumable hemp products sold by OilWell Cannabis contain less than 0.3% concentration of Delta-9 tetrahydrocannabinol (THC) as required by Texas law. Products are tested by third-party laboratories to verify compliance with state THC limits. However, laboratory testing methods may have limitations, and batch-to-batch variations may occur within legal limits.
Texas Supreme Court Compliance
In accordance with the June 24, 2022 Texas Supreme Court ruling upholding Texas Health and Safety Code Section 443.204(4), OilWell Cannabis does not manufacture or process consumable hemp products for smoking within the state of Texas. However, the distribution and retail sale of consumable hemp products for smoking remains permissible under the existing court injunction.
PRODUCT SAFETY AND LIABILITY DISCLAIMERS
Psychoactive Effects Warning
WARNING: Products containing THC, including Delta-8 THC, Delta-9 THC, THCa, HHC, and THCo may cause psychoactive effects, impairment, and intoxication. These products may affect coordination, concentration, and judgment. Do not drive, operate machinery, or engage in potentially hazardous activities while using these products or for several hours after use. Effects may be delayed, especially with edible products, and may last several hours.
THCa Decarboxylation Warning
WARNING: THCa (tetrahydrocannabinolic acid) products will convert to psychoactive Delta-9 THC when exposed to heat through smoking, vaping, or cooking (decarboxylation). This conversion may result in psychoactive effects and potential impairment. THCa products may appear and smell similar to marijuana and could result in confusion by law enforcement. Always maintain original packaging and certificates of analysis when transporting THCa products.
Dosage and Overconsumption Warning
WARNING: Start with the lowest possible dose and wait at least 2 hours before consuming additional product, especially with edible products. Overconsumption may result in adverse effects including but not limited to anxiety, paranoia, nausea, dizziness, rapid heart rate, and disorientation. If you experience adverse effects, seek medical attention immediately. Keep products away from children and pets.

WARNING: Cannabis and hemp-derived products may interact with prescription medications, over-the-counter drugs, and supplements. Third-Party Testing Limitations

DISPUTE RESOLUTION AND GOVERNING LAW
Governing Law
These disclaimers and any disputes arising from or related to OilWell Cannabis products or services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any legal action or proceeding arising from or related to these disclaimers or our products shall be brought exclusively in the state or federal courts located in Harris County, Texas.
Arbitration Agreement
Any dispute, claim, or controversy arising from or relating to OilWell Cannabis products or services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Houston, Texas, and the decision of the arbitrator shall be final and binding. This arbitration agreement does not preclude either party from seeking injunctive relief in court to prevent irreparable harm.
Severability
If any provision of these disclaimers is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision.
FORCE MAJEURE AND UNCONTROLLABLE CIRCUMSTANCES
OilWell Cannabis shall not be liable for any failure or delay in performance of its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labor disputes, supply chain disruptions, or changes in applicable laws or regulations. In such circumstances, OilWell Cannabis’s obligations shall be suspended for the duration of the force majeure event.
